Review Website Terms

  1. You are being provided with access to textbooks, course materials, tools and software (collectively “Licensed Materials”) solely for your evaluation of mathematics instructional materials. You are granted a revocable, non-exclusive, non-transferable, limited license to use the Materials solely for Your and Your school’s (if applicable) evaluation of the Licensed Materials during your review of mathematics materials;
  2. Access to the Site and the Licensed Materials shall be available for the term of your review of mathematics materials and thereafter at the sole discretion of Carnegie Learning. Notwithstanding the foregoing, should Carnegie Learning cease its participation in your review of mathematics materials, or should You violate these terms, Your access to this Site and the Licensed Materials may be immediately terminated;
  3. The Licensed Materials shall at all times remain the property of Carnegie Learning. Carnegie Learning shall retain all common law, statutory, intellectual property, copyright, trademarks, service marks, and other reserved rights in the Licensed Materials. You agree that Carnegie Learning shall be the sole owner of all intellectual property rights in any improvements and or modifications to the Licensed Materials which You may contribute. Your access and use of the Site and Licensed Materials constitutes Your agreement to assign to Carnegie Learning all intellectual property rights in all such improvements or modifications and will You will cooperate with Carnegie Learning to secure any such rights;
  4. You have sole responsibility for: (a) determining whether the Licensed Materials will achieve the results desired; (b) procuring, installing, and operating computers and operating systems to run the Licensed Materials; (c) providing a proper environment and proper utilities for the hardware on which the Licensed Materials operate and (d) preventing unauthorized use and copying of the Licensed Materials, including by school employees, faculty, and students. You shall permit and reasonably cooperate with efforts by Carnegie Learning to monitor, review or audit usage of the Site and Licensed Materials for purposes of assessing Customer’s compliance with this Agreement; and
  5. You agree that You have full authority to enter into these terms on behalf of Yourself and any school that You may be representing. You further agree that You will not Yourself, or through any entity or other third party: copy, modify, distribute, sell, lease, license, sublicense, or disseminate the Site or Licensed Materials (electronically or otherwise); or modify, alter, disassemble, reverse engineer or otherwise attempt to translate the Licensed Materials or discover the source code for the Licensed Materials, in whole or in part.
